1. ABOUT MSIB
MSIB Corporate Consultancy Sdn Bhd is a Malaysian professional corporate services provider offering services including, where applicable:
company incorporation and business registration assistance;
company secretarial services;
corporate compliance services;
corporate restructuring and statutory documentation;
registered office and related corporate administrative services;
business advisory and related corporate support services; and
such other professional services as may be offered by MSIB from time to time.
Certain accounting, financial reporting, taxation and related professional services promoted or facilitated through this Website may be provided by MSIB Associates Sdn Bhd, a member of the MSIB Group, subject to the relevant engagement terms applicable to such services.
Where statutory audit services are required, MSIB is not an audit firm and does not independently issue statutory audit reports. Any statutory audit requiring a licensed auditor shall be conducted and any audit report shall be issued by an appropriately licensed independent auditor. MSIB’s role, where engaged, may include assisting in the preparation of accounting information and supporting documents and coordinating the audit process with the appointed auditor.
2. NO AFFILIATION WITH GOVERNMENT AUTHORITIES
MSIB is a privately owned professional services firm.
Unless expressly stated otherwise in relation to a specific programme, registration or arrangement, MSIB is not part of, affiliated with, endorsed by, or acting as an agent of the Suruhanjaya Syarikat Malaysia (“SSM”), Lembaga Hasil Dalam Negeri Malaysia (“LHDN”), Bank Negara Malaysia, any Ministry, government department, statutory body or other regulatory authority.
References to government agencies, regulatory authorities, legislation, regulatory requirements or official procedures on this Website are provided solely for informational and service-related purposes.

7. PROFESSIONAL FEES AND PRICING
Any professional fee, package price, promotional price, monthly fee, annual fee or other amount displayed on this Website is subject to the terms and conditions applicable to the relevant service.
Where a fee is stated as “from”, “starting from”, “estimated”, “indicative” or words of similar effect, the final professional fee may vary depending on factors including:
the nature and complexity of the engagement;
transaction volume;
revenue or business activity;
number of directors, shareholders, beneficial owners or related entities;
quality and completeness of records supplied;
urgency;
additional work required;
regulatory requirements;
third-party charges;
government fees;
taxes;
disbursements; and
circumstances discovered after preliminary assessment.
Unless expressly stated otherwise, government fees, statutory fees, third-party professional fees, courier charges, search fees, stamping fees, taxes, SST and other disbursements may be charged separately.
MSIB reserves the right to revise its professional fees and service packages from time to time.
8. QUOTATIONS AND ESTIMATES
Any quotation, estimate or fee indication issued by MSIB is based on the information available to MSIB at the time it is prepared.
If the information originally provided is incomplete, inaccurate or subsequently changes, or if additional work becomes necessary, MSIB may revise the estimated or quoted professional fees accordingly.
A quotation does not constitute an obligation upon MSIB to commence work unless all applicable engagement requirements have been satisfied.
9. PAYMENT
Payment shall be made in accordance with the payment terms stated in the relevant quotation, invoice, pro forma invoice, engagement document, service terms or other written communication issued by MSIB.
MSIB may require:
full payment in advance;
a deposit;
payment of government or third-party disbursements in advance; or
settlement of outstanding balances before proceeding to the next stage of work.
MSIB may suspend, withhold or defer work where payment required under the applicable engagement terms remains outstanding.
Payments made to an entity within the MSIB Group or to a designated collection entity may be collected on behalf of the relevant service provider where such arrangement has been disclosed to the client.
10. CLIENT RESPONSIBILITIES
Clients and prospective clients are responsible for providing information and documents that are:
complete;
accurate;
genuine;
current; and
provided within the requested timeframe.
You must promptly inform MSIB of any material change to information previously supplied.
MSIB shall be entitled to rely on information and documentation supplied by the client, its directors, officers, authorised representatives, employees, advisers or other persons reasonably believed by MSIB to be authorised to act on the client’s behalf.
MSIB shall not be responsible for any delay, additional cost, regulatory consequence, rejection, penalty or other adverse outcome arising from incomplete, inaccurate, false, misleading or late information supplied by or on behalf of a client.
11. CLIENT AUTHORISATION AND REPRESENTATIVES
Where a person communicates with MSIB on behalf of a company, business, director, shareholder, beneficial owner or other person, MSIB may require satisfactory evidence of that person’s authority.
MSIB reserves the right to communicate directly with a director, shareholder, beneficial owner or other relevant person where MSIB considers such communication necessary for compliance, verification, professional, regulatory or risk-management purposes.
Submission of instructions by an unauthorised person shall not bind MSIB.
12. KNOW YOUR CUSTOMER AND COMPLIANCE REQUIREMENTS
MSIB may conduct identification, verification, sanctions, adverse-media, beneficial ownership, risk assessment and other compliance checks before or during an engagement.
MSIB may request additional information or supporting documentation at any time where reasonably required for regulatory, compliance, professional or risk-management purposes.
MSIB reserves the right to refuse, suspend or discontinue services where:
required information is not provided;
information cannot reasonably be verified;
there are concerns regarding the legitimacy of a transaction or activity;
continuing the engagement may expose MSIB to regulatory, legal, professional or reputational risk; or
MSIB is required or permitted to do so by law.
13. GOVERNMENT AND REGULATORY PROCESSING
Any timeframe stated on this Website relating to incorporation, registration, lodgement, approval, striking-off, regulatory filing or any other government-related process is an estimate only unless expressly stated otherwise.
Processing times may be affected by:
SSM or another government authority;
system downtime;
regulatory queries;
additional documentation requirements;
name approval;
compliance review;
public holidays;
circumstances outside MSIB’s reasonable control; or
delays by the client or third parties.
MSIB does not guarantee that an application, registration, incorporation, filing or other submission will be approved by a government authority merely because MSIB has assisted with or submitted the relevant application.
All approvals remain subject to the discretion and requirements of the relevant authority.
14. THIRD-PARTY PROFESSIONALS AND SERVICE PROVIDERS
Certain matters may require involvement of independent third parties, including:
licensed auditors;
tax agents;
lawyers;
valuers;
financial institutions;
government agencies;
technology providers;
payment providers;
couriers; or
other professional or service providers.
Where MSIB coordinates, introduces or facilitates services involving an independent third party, that third party remains responsible for professional work performed by it unless expressly agreed otherwise in writing.
Nothing on this Website shall be interpreted as representing that MSIB holds a professional licence which is legally required to be held by an independent third-party provider.
15. AUDIT-RELATED SERVICES
For the avoidance of doubt, MSIB is not a statutory audit firm.

preparation or organisation of accounting records;
assistance in compiling supporting documents;
responding to accounting-related audit queries within MSIB’s scope;
communication and administrative coordination with an appointed independent licensed auditor; and

The audit itself, including the audit opinion and statutory audit report, shall be the responsibility of the appointed independent licensed auditor.
16. ACCOUNTING AND TAX-RELATED SERVICES
Accounting, financial reporting, taxation or related professional services may be provided by MSIB Associates Sdn Bhdor such other appropriately engaged professional provider as disclosed to the client.
The scope of any such service shall be governed by its applicable engagement terms.
Clients remain responsible for providing complete and accurate accounting records, supporting documents and information within the timelines communicated by the relevant service provider.
17. CANCELLATION AND REFUNDS
Cancellation, termination and refund rights are subject to the terms applicable to the relevant service.
Certain professional fees, deposits, government fees, third-party charges, disbursements and payments may be non-refundable, including where work has commenced, resources have been allocated, regulatory or third-party submissions have been made, or as otherwise specified in the relevant service terms.
Users should refer to MSIB’s Cancellation and Refund Policy and any service-specific engagement terms applicable to the relevant service.
Where there is any inconsistency between the general Cancellation and Refund Policy and specific written engagement terms governing a service, the specific engagement terms shall prevail in relation to that service.
