About Limited Company
A Limited Company, commonly known as a Berhad in Malaysia, is a corporate structure suitable for larger businesses, growing organisations and companies that require access to a wider source of business capital.
Unlike a Private Limited Company, which is limited to not more than 50 shareholders, a Limited Company can accommodate a larger number of shareholders. This provides greater flexibility for the company to raise capital from more investors to support business expansion and larger-scale growth plans.
A Limited Company is also suitable for businesses that require a more formal ownership and governance structure, particularly where there are multiple shareholders, larger investments and more complex corporate arrangements.
With a broader shareholder structure, the company may also be better positioned to support future fundraising, strategic investments and long-term expansion while maintaining a structured corporate framework.
Similar to a Private Limited Company, a Limited Company has a separate legal identity from its shareholders. The company can enter into contracts, own assets and conduct business in its own name, subject to the Companies Act 2016 and other applicable laws.

In order to claim for BOD resolution to open a bank account and online banking under this package, all banking info required must be received by us on or before the date of the client company certificate been issued by the SSM. Beyond that date, fresh payment for normal bank resolution fees must be paid to us as it will be considered normal request for bank resolution.

Q. 1 : What are the minimum requirements to incorporate a limited company in Malaysia?
To incorporate a Limited Company at SSM, you need at least 2 qualified directors and shareholders, together with an experienced company secretary to manage the incorporation and the company’s annual compliance requirements.
Q. 2 : Can I incorporate a limited company directly with SSM without appointing a company secretary?
Generally, certain stages of the incorporation process can be handled by yourself. However, we do not recommend this as it may not provide much saving in terms of time or cost. It is usually faster and easier to appoint an experienced company secretary to handle the process.
Q. 3 : If I already own a Sdn Bhd, can I convert it into a limited company?
Yes. The Companies Act 2016 provides an option to convert a Sdn Bhd into a Limited Company. MSIB also provides services to assist with the conversion from Sdn Bhd to Berhad under an attractive service package.
Q. 4 : Does MSIB provide services to list a limited company on Bursa Malaysia?
No. We do not provide services for listing a Limited Company on Bursa Malaysia. Our services are limited to incorporating the company with SSM, applying for the CCB, and assisting with its annual compliance requirements.
Q. 5 : Is it an offence for a limited company not to be listed on Bursa Malaysia?
Not at all. Listing a Limited Company on Bursa Malaysia is an option for raising larger amounts of capital through Malaysia’s capital market. It is also very common for Limited Companies to remain unlisted.
Q. 6 : What are the key advantages of choosing a limited company over a Sdn Bhd?
The key advantage of a Limited Company is its greater potential to raise capital from more than 50 shareholders, compared with the 50-shareholder limit for a Sdn Bhd. It may also offer shares to the public and may be listed on Bursa Malaysia.
